VENDOR MARKET AGREEMENT

This Vendor Market Agreement (“Agreement”) is entered into by and between Village Studio and Gallery, organizer of the West End Arts Market (“Organizer”), and the undersigned vendor (“Vendor”) for participation in the West End Arts Market.

1. Event Details

  • Event Name: West End Arts Market

  • Organizer: Village Studio and Gallery

  • Location: 4111 Rose Lake Dr., Charlotte, NC

  • Schedule: As Posted

  • Set-up time: 7:00 AM–8:00 AM

  • Tear-down time: 12:00 PM–1:00 PM

2. Vendor Fee

  • Vendor shall pay a non-refundable fee of $35 per event, payable upon registration.

  • If the Organizer cancels the event due to imminent weather conditions, the Vendor’s fee will be applied to the next scheduled event.

3. Vendor Responsibilities

  • Vendor shall supply their own 10x10 tent, tables, chairs, display equipment, weights, and products.

  • Vendor is responsible for keeping their space neat, professional, and clean at all times.

  • Vendor must clean and remove all trash, belongings, and equipment at the end of each event.

4. Permitted Goods

  • Only handmade products may be sold, including but not limited to: ceramics, candles, jewelry, knitted items, skincare, soaps, baked goods, and art.

  • The sale of illegal items, resale items, or unauthorized goods is strictly prohibited.

  • No more than two vendors per product category will be permitted at each event, at Organizer’s discretion.

5. Compliance & Conduct

  • Vendors must conduct themselves in a professional, respectful manner.

  • Vendors are required to remain for the duration of the event unless dismissed by the Organizer.

  • Vendors shall comply with all applicable laws, ordinances, and tax obligations, and provide their North Carolina Department of Revenue (NCDOR) ID upon registration.

  • Vendors are solely responsible for collecting and remitting any applicable sales tax.

6. Attendance Policy

  • The event is rain or shine, except in the case of imminent weather danger as determined by the Organizer.

  • No-shows (failure to attend without notice) will result in a two-month suspension from participation.

7. Insurance & Liability

  • Vendors are required to maintain their own liability insurance covering their participation in the event.

  • Vendor agrees to indemnify and hold harmless the Organizer, its owners, employees, agents, and affiliates from and against any claims, damages, losses, or expenses (including attorney’s fees) arising from the Vendor’s participation in the event.

  • Damages & Theft: Organizer is not responsible for any loss, damage, or theft of Vendor’s property, products, equipment, or materials at any time before, during, or after the event.

8. Photo & Media Release

  • Vendor grants Organizer the right to photograph, videotape, or otherwise record Vendor’s booth, products, and likeness during the event.

  • Such images or recordings may be used in Organizer’s promotional materials, websites, social media, and press releases without compensation to Vendor.

  • Vendor releases all rights to such images and waives any claims relating to their use.

9. Term & Termination

  • This Agreement is effective as of the date signed below and applies to Vendor’s participation in the West End Arts Market.

  • The Organizer reserves the right to remove or prohibit any Vendor for violation of this Agreement or other disruptive behavior at any time.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes any prior discussions or agreements, whether written or oral.
